Özet

Acente, kural olarak, müvekkiline ait parayı tahsil etmekle yükümlü değildir. Ancak,

müvekkilinin tahsile ilişkin bir talimatının varlığı halinde Türk Ticaret Kanunu (TTK) m.

113/4’e göre acente, tahsil ettiği paralar için tahsil komisyonu tal

ep edebilir. Acentenin

tahsil komisyonu talep hakkı, başarılı acentelik faaliyetleri yerine tahsil faaliyetlerini esas

aldığından, acenteye ba şarılı acentelik faaliyetleri için ödenmesi kararlaştırılan ücret

hakkından (TTK m. 113/1-3) farklılık taşır. Bu s

ebeple tahsil komisyonu, öğretide

yönetimsel/idari ücret olarak da ifade edilmektedir.

Çalışmamızda, ilk defa 6102 sayılı

TTK’da düzenlenen acentenin tahsil komisyonu talep hakkı, acentenin başarılı acentelik

faaliyetleri sebebiyle t alep edebileceği ücret

hakkıyla ilişkisi üzerinde durulmak suretiyle

açıklanmaya çalışılacaktır. Bu açıklamalar yapılırken, öncelikle TTK m. 113/

4’ün hukukî

niteliği üzerinde durulacak, daha sonra ücret ile komisyon terimlerine ilişkin kavramsal

çerçeve belirlenerek tahsil komi

syonu talep hakkının şartları ele alınacak; tahsil

komisyonunun hesaplanması ve ödenmesi konularına değinilecektir. Bu açıklamalar

yapılırken ayrıca yeri geldikçe mehaz Alman ve İsviçre hukukunda konuya ilişkin öğreti ile

yargı kararlarındaki görüşlere de yer verilecektir.

Abstract

In pri nciple, the commercial agent is not obliged t o collect the money of his/her

client.

However, according to Turkish Commercial Code (TCC) Art. 113/

4, the commercial agent

has the right to demand collection commission for the money he/she collected from

customers. While the collection commission right of the commercial agent is based

on the

collection activities instead of successful agency activities, it is different from the right to

be paid to the commercial agent for her/his successful activities (Art. 113/1-

3). Therefore,

the collection commission is also referred to as administrative remuneration in the doctrine.

In our study, initially, it is expected to explain the relationship between remuneration right

of commercial agent and his/her right to demand collection commission. Then, it will be

focused on the differences between th

e term “remuneration” and “commission”, also

calculation and payment of the collection commission will be discussed. Finally, the

conditions of demanding the collection commission will be evaluated in the light of

German and Swiss court decisions and relat

ed articles of German Commercial Code and

Swiss Code of Obligations.
